The People M&A lead is responsible for driving the HR M&A lifecycle from project kickoff through due diligence, integration planning and integration execution. This role acts as a project lead on acquisitions, mergers, and divestitures of small and medium sized companies and a sub-leader on the largest, most complex acquisitions. As part of a corporate team, the People M&A lead, is responsible for providing scalable, repeatable, and transferable processes and tools to further evolve PayPal’s People M&A capabilities in line with deal volume and requirements. Responsibilities include supporting and driving a robust program management structure (e.g., roles, responsibilities, processes, and tools) to drive integration success, minimize execution risks, and drive efficiencies while also identifying opportunities to enhance the current model.

Under the direction of the Senior Director of HR Mergers and Acquisitions (M&A), the People M&A lead is responsible for driving the HR M&A lifecycle from project kickoff through due diligence, integration planning and integration execution. This role acts as a project lead on acquisitions, mergers, and divestitures of small and medium sized companies and a sub-leader on the largest, most complex acquisitions. As part of a corporate team, the People M&A lead, is responsible for providing scalable, repeatable, and transferable processes and tools to further evolve PayPal’s People M&A capabilities in line with deal volume and requirements. 

Responsibilities include supporting and driving a robust program management structure (e.g., roles, responsibilities, processes, and tools) to drive integration success, minimize execution risks, and drive efficiencies while also identifying opportunities to enhance the current model.

Key responsibilities include:

  • Assess organizational, people and HR functional implications of deal
  • Assist with development of HR deal approach and initial strategy 
  • Identify and engage HR resources to conduct due diligence, assigning roles and responsibilities for due diligence
  • On assigned projects, act as the HR point of contact for Corporate Development and the M&A Integration team
  • Inform and engage appropriate stakeholders regarding deal, due diligence and integration planning
  • Assess the risk of a transaction effectively achieving stated business objectives and quantify any potential liability that may result as a consequence of the transaction
  • Lead the People due diligence and integration teams by conducting detailed assessment of Target and planning for and executing on integration, a key focus area is the close requirements/readiness and launching of employee onboarding activities
  • May lead the Employee Experience workstream as part of integration planning
  • Participate (and potentially lead) the Blue Crew (PayPal’s acquired employee onboarding experience)
  • Oversee team to assess the following People-related areas and develop the associated transition plan:
    • Structure: Organization design and selection strategy/approach
    • Talent: Talent assessment, retention strategy and costs
    • Culture: Differences such as leadership styles, decision-making processes, and receptiveness to change, work styles, personal interactions, and beliefs related to personal success
    • Programs and Processes: Employment and/or change-in-control agreements, unfunded liabilities, collective bargaining agreements/trade unions, and works councils
    • Total Rewards: Complete gap analysis between compensation and benefit programs and develop mitigation plans as needed
  • Develop and execute detailed HR work stream integration plans. 
  • Determine ongoing and interim HR programs and policies, and implementation timeline
  • Manage and continue to execute integration activities to achieve End State including transitioning staff to Total Rewards, payroll and policies
  • Deliver systems, process and training in partnership with People Business Partners of acquiring business units that enable transfer of capabilities resulting in the achievement of desired business objectives

The preferred candidate will have:

  • Successful track record of problem solving, a “can-do” attitude, excellent communication and interpersonal skills, and the ability to liaise positively with all levels of management
  • Successful track record of leading complex projects requiring coordination of work across multiple stakeholders, negotiation, consensus building and problem resolution, and consistent demonstration of process improvement
  • Ability to contribute to change and culture management initiatives that result from acquisition or divestiture
  • Strategic agility and thinking – a vision for how the organization can perform and win in the marketplace now and in the future
  • Strong business acumen and a clear understanding of market trends and competition 
  • Understanding of all HR disciplines, including the HR business partner role, organizational development, compensation, benefits, talent acquisition, and operations 
  • Ability to build & influence partnerships with executive level leadership, mid-level managers, and front-line employees 
  • Previous full-lifecycle M&A experience required; M&A project management experience preferred.

Candidates must have a bachelor’s degree. An advanced degree is preferred.
