The European headquarters of the PayPal group, PayPal (Europe) S.à r.l. et Cie, S.C.A. We are looking for a fast-learning, dynamic lawyer and company secretary to join our growing team.  ​

Senior Counsel, Corporate and Company Secretary PayPal Europe (m/f/d)



This position is based in Luxembourg and will report into the Head of EU Regulatory & Product Legal. To succeed in this challenging role, candidates should be mature, self-motivated, independent and well-organised with excellent interpersonal, communication and problem solving skills.  

An ability to work in a matrixed environment with multiple stakeholders is essential. PayPal is a global company and the successful candidate will need to have flexibility to work with and occasionally accommodate colleagues in different time zones (particularly the United States and Singapore).

Responsibilities:

Acting as Company Secretary for PayPal Europe you will play a key role working directly with the members of the Supervisory Board, the CEO and the Authorised Management team to ensure PayPal Europe meets its corporate governance requirements including:

  • setting and preparing agendas for supervisory board, board committees, shareholder and Authorised Management meetings for PayPal Europe; ensure follow-up on action points and communication of decisions to relevant stakeholders; proactively monitoring timely discussion and presentment of topics on the corporate calendar;  and preparing and reviewing agenda papers and working directly with presenters to ensure appropriate content of materials;
  • taking minutes, drafting resolutions and lodging required filings; ensuring all corporate books and records are maintained and accurate;
  • liaising with external regulators and advisers (such as law firms and auditors) on relevant matters;
  • ensuring due authorisation is obtained for all decisions of the Supervisory Board, Authorised Management and executive committees of PayPal Europe and implementing these as required;
  • supporting the Supervisory Board and Authorised Managers in maintaining and improving overall board and team effectiveness;
  • providing legal advice on a wide variety of European corporate governance matters relating to PayPal’s European businesses ;
  • providing company secretarial support for affiliated PayPal group entities as required.

As a senior member of PayPal’s European legal team, you will be responsible for advising on general corporate law matters for PayPal Europe and affiliated companies including:

  • Advising on  capital restructurings, asset transfers and shareholder distributions and implementing the necessary corporate transactional steps;
  • acting as European legal business partner to the PayPal Corporate Treasury team providing them with advice and transactional support;
  • developing and overseeing systems to ensure PayPal Europe monitors and complies with applicable regulatory and statutory requirements;
  • supporting senior colleagues in the PayPal legal team on a variety of commercial opportunities, regulatory issues,, strategic projects, antitrust matters and legal department operational initiatives as required;
  • providing training on relevant topics to colleagues and creating new templates, policies and procedures.

You will assist in considering and advising on group acquisitions, minority equity investments and  integrations of acquired companies which may have an impact in Europe. You will also oversee a junior corporate governance specialist and co-ordinate European company secretarial matters for the PayPal group working closely with PayPal’s global legal and company secretarial teams.  

Requirements:

  • Admitted to the Luxembourg Bar and authorized to practice law in Luxembourg with several years’ post-admission experience in a law firm or as in-house counsel
  • Experience in banking, payments, financial services or fintech preferred
  • Expertise in Luxembourg corporate law and company secretarial work
  • Experience in M&A, financing and treasury law
  • Experience in competition law is desirable
  • Experience in dealing with non-executive chairs and board members, senior management and external stakeholders
  • Ability to take ownership of matters, knowing when to take decisions and when to escalate
  • Ability to thrive in a fast-paced, changing environment and matrixed organisation
  • Highly resourceful and collaborative team player
  • Organized, with a keen attention for detail and an ability to manage multiple tasks and projects simultaneously
  • Flexibility to work with colleagues in the United States and Singapore and on occasion accommodate calls and deadlines aligned to their time zones
  • Excellent communication and interpersonal skills: fluent English required, fluent French a strong advantage, and any other European language useful
