This role is based in Singapore providing corporate secretarial and legal support to PayPal Pte. Ltd. (3PL) and the PayPal entities in Asia.

You will play a key role working directly with the members of the CEO, the Board and the senior management team to ensure 3PL meet their corporate governance requirements including:

  • Setting and preparing agendas for the board, board committees, and shareholder meetings for 3PL; ensure follow-up on action points and communication of decisions to relevant stakeholders; proactively monitoring timely discussion and presentment of topics on the corporate calendar; and preparing and reviewing agenda papers and working directly with presenters to ensure appropriate content of materials;
  • Taking minutes, drafting resolutions and lodging required filings, ensuring all corporate books and records are maintained and accurate;
  • Liaising with external regulators and advisers (such as law firms and auditors) on relevant matters;
  • Ensuring due authorisation is obtained for all decisions of the board and relevant committees 3PL and implementing these as required;
  • Supporting the senior management in maintaining and improving overall board and team effectiveness;
  • Advising on governance requirements of financial regulators, including the Monetary Authority of Singapore and Bank Negara Malaysia;
  • Providing legal advice on a wide variety of APAC corporate governance matters; and
  • Providing company secretarial support for affiliated PayPal group entities as required.

As a senior member of PayPal’s Singapore legal team, you will be responsible for advising on general corporate law matters for 3PL and affiliated companies including:

  • Advising on capital restructurings, asset transfers and shareholder distributions and implementing the necessary corporate transactional steps;
  • Supporting the Treasury team by providing them with advice and transactional support;
  • Developing and overseeing systems to ensure 3PL monitors and complies with applicable regulatory and statutory requirements;
  • Supporting senior colleagues in the PayPal legal team on a variety of commercial opportunities, regulatory issues,, strategic projects, antitrust matters and legal department operational initiatives as required; and
  • Providing training on relevant topics to colleagues and creating new templates, policies and procedures.

You will assist in considering and advising on group acquisitions, minority equity investments and  integrations of acquired companies which may have an impact in APAC. You will also co-ordinate Asia company secretarial matters for the PayPal group working closely with PayPal’s global legal and company secretarial teams.

Job Requirements:

  • Candidates should have a minimum of 8 years post qualification experience and be from an established in-house legal team or established private practice law firm with international legal and regulatory experience.
  • Candidates should have solid experience and expertise in Singapore corporate law and corporate secretarial work, with experience dealing with non-executive chairs and board members, senior management and external stakeholders.
  • Experience in financing and treasury and M&A matters will be preferred.
  • Preference for candidates with solid experience and expertise in in financing, treasury and M&A matters. We would consider candidates with solid and broad corporate legal experience in payments, banking, financial services or fintech.
  • Flexibility to work with colleagues in the United States and Europe and on occasion accommodate calls and deadlines aligned to their time zones.
